The Difference Between Debt And Equity Financing

There are two main types of financing for a business, debt or equity financing. Debt financing tends to be the type of financing you receive from a traditional bank loan and equity financing tends to be financing you receive from venture capital into your business from outside investors. The benefit of debt financing is that it is finite and you will pay down the debt over time to a zero sum balance without any further obligation to the lender. The down stroke to debt financing is that traditional lenders will take a hard look at your business including how long it has been in existence, income from operation, expenses and will require hard assets for collateral for the loan. Additionally, lenders will most certainly want you (and any other principals of the organization) to personally guarantee repayments of the loan. Another disadvantage of debt financing is that your organization will be burdened with some other type of regular payment (usually a monthly payment) depending on the terms and conditions of the financing and this can absorb critical cash flow, especially with small business.

The benefit of equity financing or venture capital is that you will be receiving money in exchange for equity in your business in the form of stock or some other form of equity like percentage of income or gross/net sales. A primary benefit of this type of financing is that typically there is no monthly payment requirement to investors. Instead, you are giving up ownership interest, most often, permanently.

Traditional lenders, banks for example, will look at your business much differently than venture capitalist. Bankers want a zero-risk or near-zero risk position when they provide financing and will rely almost completely on the operating economics of the business with little regard for "potential future growth". They want to see strong cash flow backed up by hard assets before they do a deal--the ingredients that most small business lack or they wouldn't be seeking financing, right? Venture capitalist, on the other hand, tend to consider the management team and the potential future growth of the business more heavily than actual operating numbers, especially for small business with large potential but few sales and little or no operating history. Although these two lender types vary in their approach to analyzing a business for funding, you can be sure that careful scrutiny of you business will be conducted...

The Difference Between Debt And Equity Financing

Besides the actual operating economics and pro forma analysis, both types of lenders will look closely at two particular documents: 1. Your business plan. 2. Your bank or loan request package. These two documents, if assembled correctly, can make the difference between success and failure when dealing with either lender type.

There are plenty of free SBA related materials that tell you how to create blue-chip, boiler plate business plans but they tend to be written for perfect businesses and not the average Joe who is less than picture perfect. Food Prices During the Great Depression

Food prices of the great depression in the 30s, were somewhat of a paradox, when you look back and consider how everything was so cheap, and, yet, at the same time, way too expensive for many people living through those times.

Food prices weren't so much a problem for those who were employed during the great depression, as they could afford the daily essentials, and, perhaps, some extras, like a movie or ice cream; but, for the unfortunate ones who were unemployed, even the every-day, basic necessities were totally out of reach.

Actually, it wasn't that the food prices were high, but it was the lack of, or absence of money that kept most things people not only desired, but needed, at arms length, or on the other side of the shop's glass window.

Food Prices During the Great Depression

Imagine not being able to run to the store and grab your desired food items, clothing, and, if you needed it, medicine; and then not being able to afford the mortgage or rent, or the electricity or gas for cooking. Could you go without?

Who, in our prior affluent day-and-age, could deal with that kind of inconvenience, when we're used to flipping the light switch on in the morning, and turning on the automatic coffee machine to dilute some of those twelve-dollar-a-pound grounds we bought from the specialty coffee beanery-after already enjoying a six-dollar mocha grande with friends.

No such thing for families during the great depression, under their poor circumstances. Imagine buying just a plain (if you can get one today) cup of coffee with cream and sugar, for five cents; a two-egg-bacon-and-toast-with-a-piece-of-pie-and-a-cup-of-coffee breakfast, for 25 cents; or a candy bar for a dime.

It doesn't sound like a lot, except those who were employed might only have been earning or a-day, but when you don't have those few small coins, food prices of the great depression seemed pretty high! For those who had money, life was, undoubtedly, more comfortable even considering the times, but for those who had to scrimp and scrape to put food on the table, their days were filled with worry and strife.

Many mothers often went without food, so their children had more to eat. She didn't spend her pennies foolishly, if she had them, but used them for the things that were vital to her family's survival. She'd account for every cent.

With money during the great depression being so scarce, families frequently ran out of the little bit they may have acquired, from some type of labor, or, perhaps, from hocking something of sentimental value.

And, to make things worse, families lives were often compromised, or drasitically challenged, as the men would set out for other parts of the country seeking employment. Some men, never returned, but, instead, turned to illegal activities in hopes of gain, or to alcohol, only making their own, and their family's problems worse. Some even chose suicide.

At any rate, most people had nowhere to turn, since borrowing from their neighbors or relatives would cause them further problems. Local stores might have extended credit to certain people, but they were rarely let off the hook to pay, as some people were still paying off bills that were outstanding, long after the war, which followed The Great Depression, ended.

Money-or, the lack of it-was the main thing that dominated millions of lives for many years during the earlier part of this century. And, it's no different today. Money, for many people, in one way or the other, still rules.

Tough times are coming again for those who don't think so, as many people world wide, are already experiencing our plummeting economy. I sure notice the presently rising food prices (or, more realistically, decreasing dollar value), as it costs way more for a half-empty grocery bag today, than it did not so long ago.

But, hey! There is hope, and for those who are informed, there's no need to be surprised and led to despair by these coming hard times. We can take precaution, and plan and prepare for our now, and our future lifestyle management, by getting ahead of the game.

We can learn more about food prices of the great depression, and valuable ways on how we can prepare ourselves and our families, for what likely will, in some form or other, depending on our circumstances, be much like, or worse than, The Great Depression of the 30s.

Environmental Issues in Japan

As an industrialized nation Japan must deal with tough environmental issues. Japan is the world's leading importer of exhaustible energy resources and the world's fifth largest emitter of greenhouse gases. It is a signatory of the Kyoto Protocol and also the country which hosted the conference in 1997. Under the Kyoto Protocol treaty Japan is obligated to reduce its carbon dioxide emissions to a level 6% lower than its 1990 levels. In addition, Japan must take other steps to curb global climate change.

Nuclear power provides about 35% of Japan's electricity. There are currently 63 nuclear power plants operating in Japan making it the second largest user of nuclear power in the world. All of these power plants produce waste which much be dealt with. Especially dangerous is HLW, or high-level radioactive waste. To address this issue the Rokkasho Reprocessing Plant was built in Ibaraki, Japan. There are many opponents to the opening of the plant, including Greenpeace, which feel the plant poses danger to surrounding residents. The opponents also feel Japan should be investing money in cleaner and safer renewable energy sources.

Japan is one of the world's largest consumers of fish. However, due to depleting ocean stocks the annual catch has been rapidly decreasing. Japan is the world's third largest consumer of fish, following China and Peru. Numbers of the prized bluefin tuna, known as the diamond of the sea in Japan, are dwindling causing fishing quotas to be reduced. Japan has been facing international pressure from environmentalists to curb its consumption of bluefin tuna.

Environmental Issues in Japan

Japan's whaling for "research purposes" has also attracted a great deal of negative international attention. The whale meat harvested from the research campaigns is sold in supermarkets and restaurants in Japan. Many people feel the Japanese JARPA research program is just an obvious cover for commercial whaling. The Sea Shepherd Conservation Society, lead by Captain Paul Watson, uses controversial tactics to stop Japanese whaling vessels in the Antarctic. Two common methods used by Sea Shepherd are throwing rotten butter and powerful stink bombs at the Japanese whaling vessels.

Renewable energy accounts for only 1.3% of Japan's total energy production. Despite being technologically advanced and heavily dependent on oil imports, the country has set an unambitious goal of 1.6% by 2014. Currently Japan ranks 14th in the world for wind-power installations. With a lack of government policies to promote the use of renewable energies it is unlikely Japan will become a global leader in this area as many once thought.

Role of Youth in Nation's Development

Vision 2020 can be better described as vision 20/20. That is the perfect vision in American style and this 20/20 vision can be achieved only by young generation of India. It is well known that India is home to a significant proportion of youth of the world today. All the imperialists of the world are eyeing India as a source of technical manpower. They are looking at our boys and girls as a source of talents at low costs for their future super profits. If Indian youth make up their mind and work in close unity with working class people, they can foil the plans of Imperialism and Bourgeoisie. The plunder of India can be ended with political power in their hands. The workers, peasants, women and youth will ensure that there is work for all. They will ensure that what is produces is geared towards providing adequacy for all members of society.

Unfortunately no one is bothered to dream any such vision. Martin Luther has said, "I have a Dream" and the dream come largely true. If he had not thought of that dream he would have accomplished nothing in his life. To climb high one has to think of climbing the Everest. One may not go higher than 10000 feet but even that will not be attained if you have no better dreams of going up to the top floor of your office in a life.

In recent years the world has come to look at India with renewed respect, recognizing a strong and prosperous global power in the world. It is also a future when the fabled richness of India's art, culture, intellectual explorations and spirituals pursuits will begin to show its full radiance bringing much success to the troubled spirit of Modern India.

Role of Youth in Nation's Development

Is it a dream? Yes. Is it an impossible dream? No, it's not. This can be done by the Youth of Indains. Youth is the spring of Life. It is the age of discovery and dreams. When they dream they dream not only for the good future of themselves but also for the good future for nation and entire humanity. Their dreams take them to stars and galaxies to the far corners of the unknown and some of them like our own Kalpana Chawla pursue their dream, till they realize it and die for it in process.

If any section of the society in any country is most important for change, again it is the young people. Patriotism comes naturally to young people, but they also respond early to the call of Internationalism. The hopes of the youth are:

1. A world free of poverty, unemployment, inequality and exploitation of man by man.

2. A world free of discrimination on the grounds of race, colour, language and gender.

3. A world full of creative challenges and opportunities to conquer them.

But these are not just the empty hopes. Modern science and technology and increasing vistas of Socio Economic cooperation among nations have brought these hopes out in the reach of realization. In recent times Terrorism has emerged as one of the gravest threat to peace and democratic policy. Youth are drawn between acts of terrorism. In some cases it is not the terrorism, but a freedom struggle. This is how our neighbors are trying to justify its policy of cross border terrorism in Jammu and Kashmir. Youth organizations should carry out an awareness campaign to expose justification or condoning of terrorism anywhere and under whatever pretext.

Role of Youth:

A. The youth can play a vital role in the implementation of elimination of terrorism. If the energy, intelligence and resources of youth are fully and properly utilized the country will prosper.

B. The youth will have to compete with sporting spirit. Just look at the spirit of Internationalism that today prevails in the cricketing world. With the start of any cricket tournament, no matters which team wins, Cricket wins, Youthfulness will won. The spirit of oneness will win.

C. The youth would need to Aspire for entrepreneurship rather than conventional employment.

D. The hopes of young people can be fulfilled only in conditions of peace, only in a civilized and cooperative world order.

E. Young people are full of vibrant ideas. When properly motivated and sufficiently guided they want in their life.

F. Young people have energy to try out things and the patience to learn from mistakes. Giving them opportunities to plan, to decide and to work prepares them to face harsher realities in life.

G. Young participation is important because youth are the country's power. Youth recognize problems and can solve them. Youth are strong forces in social movements. They educate children about their rights. They help other young people attain a higher level of Intellectual ability and to become qualified adults.

What should be the vision of Young generation for India 2020? Vision 2020 says that:

1. Instead of Brain drain, we can be the magnets for bright minds world over.

2. Our Judicial system could be a model for fairness, promptness and incorruptibility.

3. Our Legislatures could be an acme of integrity, farsightedness and purposefulness.

4. Our habitats could be clean with abundant municipal services.

5. Our youth can be the Olympic Champions.

6. We can have 100% Literacy.

7. The Per Capita Income can go up in Geometric Proportions.

8. We can have full employment.

9. We can earn the reputation of being the most transparent and honest nation.

10. We could be the most competitive Nation.

India can become a developed nation only if everyone contributes to the best of his or her capacity and ability. Youth is wholly experimental and with the full utilization of the talents of the Youth, India will become a complete Nation. Let us hope for the same.

Top Reasons That Made English a Dominant Language

If you can speak English, you will probably be able to communicate with someone in just about any major country you could visit. While not everyone speaks this language, English is truly a dominant language spoken by millions across the globe. Experts state that around a third of the world's population speaks English as their native language, and many more study it as a second language. What caused English to spread beyond the bounds of the British Isles and become such an important player in global communication? The answer begins with a look at the language's original speakers, the English.

English Dominance in the 19th Century

In the 19th century the British Empire was truly a global empire. As some said at the time, "the sun never sets on the British Empire." Great Britain held colonies on every continent, and the trade language in those areas was English. By the end of the 19th century, the British Empire's reach was global, and the language was also becoming global. This influence continued into the 1900s, and by 1922 the British Empire had an influence over around 458 million people, close to a quarter of the world population of the time, which meant that knowing English was important.

Even though it is a relatively young country in light of world history, the United States has become a global superpower, specifically after World War II. When you add the influence of America in today's global economy to the historic and current influence of Great Britain, understanding English becomes almost essential to carrying out business in the current economic market.

English Is the Language of Technology and Science

As you browse the World Wide Web, you will find that most websites are in English or have an English translation available. This shows how influential English is in the world of technology. Since many of the technological devices created across the globe are marketed heavily in America, they are designed with English-speaking users in mind. You can see this in the design of the computer keyboard. Most standard keyboards contain the standard letters of the English alphabet, which is further proof that English is the language of technology.

In addition, English is the language of science. The Science Citation Index reports that over 95 percent of all of its documents are English documents, even though a majority of them are writing by non-native English speakers. The medical community also uses English as a unifying language, making it essential for doctors to learn if they wish to be able to read reports and journals about the latest medical breakthroughs.

English is the Language of International Organizations

When multiple countries come together, they must choose a language to speak. Often the language chosen is English. The official language of the United Nations, for instance, is English. The same is true for the International Olympic Committee. At the Olympics, announcements are made in the language of the host country and in English. English is also one of the official languages of the European Union.

Other Uses of English Cause It to Have Global Impact

English is the international language of many industries, including banking, computing, business, diplomacy, and even entertainment. An international treaty aimed at making communication easier made English the official language of aviation and maritime activities.

The list of industries or functions where English is one of the main languages spoken is truly never ending. The simple fact is that since the late 1800s, English has been spoken in more locations across the globe than any other language, and that fact, coupled with the economic and political power of the United States and Great Britain, means that English will continue to have massive impact on the global economy in the future.

Fundamentals of Contract Law

No matter where you live in North America, you must have seen some humoristic vignettes depicting a not-so-trustworthy Realtor intent at selling a house to some innocent-looking couple. My favorite vignette, which still makes me chuckle today, goes back to a few years ago when I was practicing real estate at United Realty. It involved a Real Estate Agent of Pompeii Realty, briefcase in hand, in the process of selling a house to an ancient Roman couple sometimes around 100 BC . The house is overlooking Mt. Vesuvius. There is a black, threatening, ominous plume of smoke coming out of the top of the volcano, and the Roman couple looks somewhat startled when the Real Estate Agent - big smile on his face - delivers the punchline: " Plus, with a view like this what could possibly go wrong" !

What is it exactly that you do when you sign a 'contract' . The term 'contract' means a promise or a set of promises made by one person to another, which the Courts will enforce. A contract can contain a number of promises or 'terms' to be performed by either party. The person who makes the promise is called the 'promissor' and the person who can enforce that promise is called the 'promissee' . If the contract contains several mutual promises, each party will be both a promissor and a promissee. Contracts of Purchase and Sale of land and interests in land usually have lots of mutual promises. Contracts are a crucial part of every business transaction, but not nearly as much as in Real Estate. For instance, some contracts are made verbally while others are made by simply exchanging letters or even e-mails. This is not the case in Real Estate, where it is a requirement at Law that contracts be written down in usually lengthy legal forms to avoid uncertainty, ambiguity and to be binding .

A contract has seven essential elements:

Fundamentals of Contract Law

Offer.

Acceptance.

Consideration

Legal Intent.

Capacity.

Legal Object.

Genuine Consent.

Each of these elements must be present for a contract to be binding and enforceable. Let's examine them individually.

OFFER

An offer is the promise made by one party to another. Save and except in Real Estate where the offer must be in writing, an offer can be made in any form. In all circumstances, however, an offer must be made in clear an unambigous terms. If more than one interpretation can be given to an offer, neither interpretation will be followed by the Courts. There are 'unilateral' and 'bilateral' offers. Offers to purchase real property are bilateral, i.e. containing the exchange of mutual promises.

An offer is not made forever. Offers can either be finalized, when all mutual promises are fulfilled. Or they can expire, if not timely accepted. Or they can be released, if one of the parties does not - or cannot - deliver on the promise. Offers can also be revoked after acceptance, unless a term of the offer stipulates that revocation is not allowed.- as it is now the case in British Columbia for offers involving land. A 'counter-offer' is simply an offer from the offeree back to the offeror. The legal effect of a counter-offer is to terminate the original offer and substitute the offer of the offeree. What this means in practicality is that if the counter-offer is not accepted, the offeree cannot try to accept the first offer unless it is tendered again by the offeror. This is a point often times neglected in Real Estate, which has caused several tears to be spilled.

ACCEPTANCE

The acceptance, like the offer, must be given in clear terms. It must be a positive act. For instance, an offer cannot state "If I don't hear from you, I will assume you have accepted". Doing nothing will never be considered legal acceptance. The rule at Law is that where an offer is required by statute to be in writing, then also the acceptance must be in writing in order for the offer to become a contract binding on both parties. Such is the case in Real Estate. An acceptance has no effect until it is communicated to the offeror. Communication can be made by 'instantaneous means' as in the case of telephone or teletype or fax communications, or e-mail or hand-delivery and by 'non-instantaneous means' such as postal mail. The Law gives the responsibility to the offeror to specify how he wants the offer to be accepted. If the offeror chooses a method like slow mail, then he assumes the risks involved in that type of service (such as misdelivery).

CONSIDERATION

For an offer and acceptance to form a contract there must be consideration or the contract must be signed under seal. Consideration is defined as 'some right, benefit or profit accruing to the promissor or some forebearance, detriment, loss or otherwise responsibility suffered by the promissee' . What this means is that the party trying to enforce the contract must have 'paid' something in exchange for the promise of the other party. Consideration must be of real value, but it does not have to be money. For example, a mutual exchange of promises is consideration per se.

LEGAL INTENTION

For a person to be bound to a contract, he must seriously intend to create legal obligations. For example, inviting a guest for dinner would normally not be considered a contract intended to create legal obligations. The Law presumes that there is legal intention in a contract involving total strangers. On the other hand, if the contract is between family members the Law presumes that there is no intention to be so bound (non arm-length transaction). However, this presumption can be reversed if there is evidence to show otherwise.

CAPACITY

Even when all the foregoing essential elements exist, a contract can still be void, voidable or illegal. A void contract is one which is deemed at Law never to have existed. A voidable contract is slightly different: it exists until it is repudiated by one of the parties. An illegal contract is one which is made for an illegal purpose, and which is therefore always void. Examples of voidable contracts are the ones made when one of the parties is an infant, i.e. a minor or under the majority age. In this case the contract can be voided by the infant. Likewise, when one of the parties is legally insane, the contract is voidable. A special case is a contract stipulated when one of the parties is a limited company or corporation. Three questions must be first answered before the contract can be enforceable: 1) whether the corporation does in fact exist and 2) whether it has the capacity to enter into the contract and 3) whether the person signing on behalf of the corporation is, in fact, the authorized signatory.

LEGAL OBJECT

Quite aside from blatantly illegal contracts such as, for examples, contracts to commit a crime or tort until recently here in British Columbia certain other types of contracts where considered illegal. For example, until the mid-80's contracts involving the sale of land made on a Sunday were deemed to be a contravention of s.4 of the Lord's Day Act(now repealed) and, thus, illegal and void. Since then, the Supreme Court of Canada has ruled that the application of s.4 - in fact the entire Lord's Day Act - is unconstitutional in that it infringes on the freedom of conscience and religion guaranteed by the Canadian Charter of Rights and Freedom.

GENUINE CONSENT

If one of the parties makes a misrepresentation or if the contract contains an inherent mistake, the contract may still not be binding. A misrepresentation is, by definition, a statement which is false and which must have induced one of the parties to enter into the contract. A misrepresentation can be innocent, negligent or fraudulent and different remedies are available to the party suffering damages because of the nature of the misrepresentation. If the representation is innocent, the party can sue for rescission of the contract. In the case of negligent or fraudulent misrepresentation, the affected party can sue for damages as well. Although misrepresentation requires a statement to be made, in Real Estate silence too can result in some form of misrepresentation. Disclosure of latent defects is one such example: failure to disclose latent defects on the part of the Seller will not, by itself, affect the consent of the parties but will have similar consequences as misrepresentation.

In the case of inherent mistake, true consent of the parties does not exist. The logic behind this notion is that the parties were negotiating for a subject matter other than the one stipulated in the contract. A specific type of mistake is sometimes referred to as 'non est factum' , Latin for 'this is not my deed' . This occurs when a person executes one form of document thinking the document is something else. Duress and undue influence both affect the genuine consent element of a contract. Duress occurs when a person is forced to enter into the contract against his will. As a result, the Courts will find the contract voidable at his option. Undue influence, on the other hand, is more subtle. Like duress it results in one party losing his free will to contract out. However it occurs more frequently when a person is in a superior or dominant position in relation to another and uses this influential position to induce the other to enter into the contract. Again, if undue influence is found, the contract is voidable at the option of the innocent party.

The Economic Situation of the Construction Industry

The construction industry is very important to the UK's - and indeed to the world's - economy. In the UK, it accounts for more than 10% of the country's gross domestic product and employs an estimated 2.5 million people. In the last three years, an extra £33 billion has been made available to this sector to increase public services. Included in this figure are major investments in transport, health and housing. As the industry is investment-driven, it is subject to the strictures of economic upturns and downturns; during the recessions of the mid 1980's and the early 1990's, there were significant downturns. However, in the late 1990's, there was a marked swing in the opposite direction.

Our construction industry, by very nature of its geographical location, is not subject to the full influences of cross-border competition that are in evidence in mainland Europe. However, construction industries worldwide have been affected by the current economic climate and the increasing rise in fuel prices. For the earlier part of 2008, the German construction industry showed a marked upturn, but this slowed and tailed off later in the year, due to the increase in oil prices and the slowing economic pace of many industrialized countries. In addition to economic factors, there is a turn in the tide of ecological factors. In America, the number of people citing Global Warming as the most important environmental issue rose from 11% in 2003 to 35% in 2006. The construction industry faces new challenges in replacing and renovating buildings with minimal environmental impact. At the same time, the cost of these precautions has to be measured against potential profits.

However, despite the factors that seem to be conspiring against it, the construction industry moves at a very fast pace and is an ever-changing entity. Whilst legislation is forever altering, new techniques, technology and methods are developing to keep up. With the development of new practices, new jobs in construction are perpetually being created. In the UK, the Home Office has released figures stating that the three construction jobs that are most lacking in applicants are those for transportation and highways engineering, ground engineering and contaminated land specialists. With major infrastructures and building developments taking place in the South East of the UK, such as the 2012 Olympics and the Thames Gateway regeneration, construction recruitment in this area is set to soar. Britain's Olympic Games will have 30 venues and a budget of £2.3 billion. It also has a non-negotiable, absolute completion date. As that date draws nearer, the construction industry will find itself heavily in demand as pressure and expectation rise. 2012 promises to be an important year for this industry and many are looking upon it as a chance to showcase its talents.

Of course, construction takes place across the globe and this gives workers a chance to travel as well as work. Construction jobs require large teams of people all working to a common goal and, while the lifestyle can be quite temporary, many get used to it and find it a liberating existence. Some projects are short-term, whilst others can last for years - such as the construction of an oil refinery.
